Terms of Service

By using the Site or engaging our services, you represent that you are at least eighteen (18) years old and have the legal capacity to enter into a binding agreement. If you are using the services on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

GYMRISE provides coaching, training, educational materials, software, and related services to fitness businesses. Specific service offerings, pricing, and terms are set forth in the Services Agreement that clients sign at the time of subscription. These Terms supplement, and do not replace, any Services Agreement.

You are responsible for maintaining the confidentiality of any login credentials associated with your GYMRISE account and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized access.

GYMRISE licenses are limited to one user per location unless otherwise agreed in writing. Sharing credentials or using a single license across multiple locations is prohibited.

Fees are set forth in the Services Agreement executed at signup. Payment obligations, including monthly installments, one-time onboarding fees, and additional license fees, are described in that agreement. GYMRISE may suspend or terminate services for non-payment consistent with the Services Agreement.

All content, materials, software, training, videos, templates, and related intellectual property provided by GYMRISE remain the exclusive property of GYMRISE LLC. You are granted a limited, non-exclusive, non-transferable license to access and use the materials solely for your own internal business use during the term of your subscription. You may not copy, redistribute, resell, publish, or otherwise commercialize GYMRISE materials without prior written consent.

You agree not to:

• Copy, reverse engineer, or attempt to derive the source code of any GYMRISE software or materials.
• Share, resell, or sublicense GYMRISE materials or account access to any unauthorized person.
• Use the services for any unlawful, fraudulent, or misleading purpose.
• Attempt to interfere with, disrupt, or gain unauthorized access to the Site or its infrastructure.

Either party may terminate the relationship in accordance with the cancellation terms in the Services Agreement. Upon termination, your right to access the services and materials ends immediately, and any outstanding payment obligations remain due.

THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” GYMRISE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. GYMRISE DOES NOT GUARANTEE ANY SPECIFIC BUSINESS, FINANCIAL, MEMBERSHIP, OR REVENUE RESULTS FROM YOUR USE OF THE SERVICES.

To the maximum extent permitted by law, GYMRISE shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, business interruption, or loss of data, arising out of or related to your use of the Site or services. Our total aggregate liability under these Terms shall not exceed the total amount you paid to GYMRISE during the twelve (12) months immediately preceding the claim.

These Terms are governed by the laws of the State of Colorado, without regard to conflict of law principles. Any legal action arising from or relating to these Terms shall be brought exclusively in the state or federal courts located in Colorado. The prevailing party in any dispute shall be entitled to recover reasonable attorneys’ fees and court costs.

We may update these Terms from time to time. Material changes will be posted here with a revised effective date, and where appropriate, communicated to account holders. Your continued use of the Site or services after any change constitutes acceptance of the revised Terms.
